Marilyn Mooney is a partner in the Washington, D.C. office of Fulbright & Jaworski L.L.P., a law firm with almost 900 attorneys and 17 offices worldwide. She heads the firm's Mergers and Acquisitions practice and is the Partner-in-Charge of the Corporate and Securities practice in Fulbright's Washington office. Marilyn serves on several firm-wide committees, including the Internal Audit Committee, the Audit Response Committee and the Diversity and Inclusion Committee.
For over 25 years she has engaged in a wide-ranging corporate and securities practice typically for major multinational companies. Marilyn is known for running complex worldwide acquisitions, often in regulated industries. Her transactional practice includes mergers and acquisitions, joint ventures, tender and exchange offers, purchases and sales of assets and securities, public and private offerings of debt and equity securities, and counseling Boards of Directors and Special Committees in regard to proposed transactions. She led the firm's team with respect to a transaction that received the 2010 Deal of Distinction Award in the Life Sciences Sector from the Licensing Executives Society (U.S.A. and Canada), Inc.
Her corporate practice includes counseling on corporate governance issues and negotiating corporate governance structures in joint ventures and partnering arrangements. Her SEC and corporate compliance practice includes the preparation and filing of registration statements, annual and periodic reports, and proxy statements, counseling on disclosure issues such as environmental matters, as well as the negotiation of accounting and auditor independence issues on behalf of domestic and foreign issuers with the Office of Chief Accountant. She also handles listing issues for securities traded on the New York Stock Exchange and The Nasdaq Stock Market.
Before coming to the Firm, Marilyn practiced at DuPont for over 9 years where she worked in one of the country's largest corporate legal departments. She was a member of DuPont's acquisition team for the then largest takeover battle in U.S. history, the acquisition of Conoco, Inc. She also represented DuPont in multi-billion dollar U.S. public debt issues and commercial paper and private placement programs and in the preparation of SEC registration statements, periodic reports and proxy statements.

As part of her undergraduate education, Marilyn spent a year studying at the Goethe Institute in Prien-am-Chiemsee, Germany, and attending the Institute of European Studies in Vienna, Austria.
Marilyn's community involvement includes multiple "firsts":
- Served as first-ever Chair, Fulbright & Jaworski's D.C. Office Pro Bono Committee. This committee plays a vital role in Fulbright's commitment to providing quality legal services to the poor. In 2003 Fulbright lawyers donated approximately 40,000 hours of free legal services to the nation's underserved.
- Serves as Fulbright's representative to The Greater Washington Board of Trade, which is the largest regional network of business and non-profit leaders and the only group representing all industry sectors. The Board of Trade's 1,200 member companies in the District of Columbia, Northern Virginia and Suburban Maryland employ 40 percent of the region's private-sector workforce.
- Served as Fulbright's Washington, D.C. representative to the Washington Lawyers' Committee for Civil Rights and Urban Affairs, for over 30 years has represented both individuals and groups seeking to vindicate their civil rights. It has handled over 5,000 civil rights cases, in employment, housing, public accommodations, and other aspects of urban life.
