Manny Rivera is a Senior Counsel in Fulbright & Jaworski's New York office and a member of the firm's Corporate Department. He engages in a broad-based transactional and corporate advisory practice, with emphasis on the general representation of middle market public companies, securities offerings and mergers and acquisitions.
Representation of Public Companies
- Manny has extensive experience in representing small- to mid-cap U.S. public companies in federal securities law compliance and corporate governance matters. He counsels public companies, including companies in the communications technology and petroleum industries, concerning ongoing reporting and other public disclosure issues; in complying with the listing requirements of the Nasdaq Stock Market, the New York Stock Exchange and other trading markets; in resales of restricted securities under Rule 144 and other securities laws; and in Section 16 reporting by corporate insiders. In addition to furnishing guidance to U.S. public companies, Manny serves as U.S. counsel to foreign private issuers with common shares or American Depositary Receipts listed on U.S. stock exchanges.
Securities Offerings
- Manny advises U.S. companies and foreign private issuers in a wide range of securities transactions. His experience includes initial public offerings of equity securities; follow-on offerings of equity securities, including registered direct offerings, at-the-market offering programs and rights offerings; debt and equity exchange offers and tender offers, including A/B exchange offers and underwater option exchanges; Rule 144A and public offerings of debt and convertible securities; universal shelf registrations and takedowns; resale shelf registration statements; PIPEs and other private placements; and public company spin-offs. He also serves as local counsel to foreign companies conducting international offerings exempt from U.S. securities laws. In addition, Manny has represented major and boutique underwriters and placement agents in public offerings, private placements and FINRA proceedings.
Mergers and Acquisitions
- Manny counsels public and private companies in the negotiation and execution of domestic and cross-border mergers, acquisitions and divestitures and the formation and restructuring of joint ventures and strategic alliances.

Since 2008, Manny has served on the New York Chapter Board of the National Society of Hispanic MBAs. He is also an active member of the Colombian American Association and its related Latin American associations in New York.
