Manny Rivera joined Fulbright & Jaworski's New York office in 2000 after practicing at a Wall Street firm since 1996. He has represented clients in a wide range of industries, from emerging growth companies to multinational corporations, and has particular experience in the representation of public companies, mergers and acquisitions and corporate finance.

Representation of Public Companies

• Manny has extensive experience in representing small-cap U.S. public companies in securities law compliance and corporate governance.  He counsels public companies on an ongoing basis in periodic reporting and other public disclosure matters; in complying with the listing requirements of the Nasdaq Stock Market, the New York Stock Exchange and other trading markets; in resales of restricted securities under Rule 144 and other securities laws; and in Section 16 reporting by corporate insiders.  In addition to advising U.S. public companies, Manny serves as U.S. counsel to foreign private issuers.

Mergers and Acquisitions

• Manny represents public and private companies, especially middle market companies, in the negotiation and execution of domestic and cross-border mergers and acquisitions and the formation and restructuring of joint ventures and strategic alliances.

Corporate Finance

• Manny serves as counsel to U.S. companies and foreign private issuers in initial public offerings and follow-on public offerings of equity securities, Rule 144A and public offerings of debt and convertible securities, shelf registrations and takedowns, and PIPEs and other private placements; represents major and boutique underwriters and placement agents in public offerings and private placements and in FINRA proceedings; advises corporate issuers in exchange and tender offers; and advises investors in private securities investments.
