EXPERIENCE

Mike Conlon, partner-in-charge of Fulbright & Jaworski L.L.P.'s Houston office and Co-Head of our Corporations, Banking and Business Practice, started with the firm in 1971. During his career at Fulbright, Mike has served as partner-in-charge of the firm's Washington, D.C., office and co-partner-in-charge of the Houston office from 2001 until he took the helm as the head of the Houston office in 2007.

His general corporate practice primarily involves the representation of publicly held corporations in matters involving securities offerings and routine reporting, disclosure issues, corporate governance, mergers, secured and unsecured borrowing, acquisitions and dispositions. Mike's practice regularly includes businesses involved in energy, manufacturing and retail. He has represented special committees of boards of directors in connection with takeover offers and corporate restructurings.

Mike's borrowing transactions include multicreditor workouts, long-term loans with institutional lenders, secured loans and off-balance sheet financing.

REPRESENTATIVE EXPERIENCE
  • Lead attorney for NYSE Company in connection with a taxable spin-off of a division immediately followed by a sale of the Company through a cash merger.
  • Lead attorney for multiple NYSE Companies in connection with acquisitions and dispositions of oil refineries.
  • Lead attorney in multiple acquisitions and dispositions of NYSE and NASDAQ companies.
  • Lead attorney for a NYSE Company in acquisitions of significant retail businesses.
  • Lead attorney for multiple NYSE and NASDAQ companies in equity and debt, private and public securities offerings.
  • Board level advisor to multiple NYSE and NASDAQ Companies on corporate governance, takeover defense, acquisition and disposition process and other matters.
  • Legal advisor to businesses related to retail, refining, land drilling, energy services, steel and aluminum production, home building products and media.
