EXPERIENCE

For more than 30 years, Fulbright & Jaworski Partner Johannes K. Gäbel has been providing legal counseling to clients from Germany and other German speaking countries for their investments in the United States. Johannes practiced law in Germany until he moved to the United States to attend Cornell University School of Law as a Fulbright scholar in 1980.

A native German, Johannes represents business entities, banks and individuals in mergers and acquisitions transactions, in corporate finance and acquisition finance transactions, and with regard to corporate compliance and structural issues.

In the M&A area, Johannes has significant experience in all forms of asset and stock deals, including negotiated and auction deals, LBOs, tender offers, PIPEs, and others.  Finance transactions Johannes has handled include secured and unsecured loans, private placements, issuance of equity, structured capital, and others.  Johannes also has considerable experience in compliance with securities laws, Foreign Corrupt Practices Act, Anti Money Laundering Laws, export regulations and international reporting requirements.  Finally, Johannes advises on  the corporate and tax aspects of optimizing corporate groups and international corporate structures and the creation, qualification, and sale of pooled investment vehicles.

Johannes is admitted to the bar in Germany and New York. He is a frequent author and lecturer on international corporate, finance and tax issues.
