Joe Daniels joined the New York office of Fulbright & Jaworski L.L.P. in 2003. From 1996 to 2002, he practiced in California offices of leading law firms.
Joe's practice focuses on a wide variety of corporate, finance and securities law matters, including:
- mergers and acquisitions
- public offerings (representing issuers and underwriters)
- venture capital investments and private equity transactions (representing companies and funds)
- public company reporting
- joint ventures and strategic transactions
- corporate governance and other general corporate matters
Joe has special expertise representing companies in the energy, financial services, health care, internet, life science, semiconductor, software industries. Joe also represents major investment banks in their underwriting of public offerings, venture capital funds in their investments, and private equity funds in leveraged buy-outs.
- Represented a leading provider of natural tissue-based orthopedic and surgical implants in its acquisition of a bio-implant and medical device provider for approximately $263 million in stock.
- Represented a national provider of maintenance services in its disposition for $276 million in cash to a leading international provider of operations, maintenance, and asset and project management services.
- Represented the leading provider of online recruitment services in its disposition of its Yellow Pages advertising agency division for $80 million in cash to a private equity fund.
- Represented a leading private equity fund in over $475 million of acquisitions and dispositions.
- Represented a leading owner and operator of hospitals and health care centers in over $150 million of acquisitions.
- Represented major venture capital funds and companies in numerous venture capital financings.
- Represented the leading European pay-for-performance online advertising company in its acquisition for $175 million in stock of a leading U.S. performance-based marketing company.
- Represented major U.S. investment banks as lead managers of the initial and follow-up public offerings of several software companies involving proceeds of over $300 million.
- Represented a leading seminconductor company in its $512 million 144A offering of convertible notes.
- Represented a leading semiconductor company in its $80 million global public offering and ParisBourse listing.
- Represented a global European electronics conglomerate in its strategic investments in numerous U.S. technology companies.
- Represented a European software company listed in the U.S. and Europe in its acquisition for € 762 million in cash by a European conglomerate.
