John Boehm has been a partner with Fulbright & Jaworski L.L.P. since 1993, and has worked in the Middle East since 2005.
In the area of corporate and business transactions, he regularly advises clients on the formation, financing, governance and operation of companies, joint ventures and distribution arrangements in the UAE, Saudi Arabia and other countries in the region. He has handled mergers and acquisitions for a wide variety of companies (including manufacturers, technology and media companies and health care systems) as well as debt and equity offerings.
He has represented clients in project finance and privatization transactions involving health care systems, toll roads, telecommunications systems and industrial and petrochemical facilities.
His work with debt financing includes matters involving senior, mezzanine and subordinate debt, working capital loans, asset-backed loans, debt backed by letters of credit and insurance policies, convertible debt, and a variety of other debt products, such as variable rate demand tender debt, auction securities, interest rate swaps and hedges.
He also represents clients in supply chain management issues, including procurement programs and contracts, outsourcing transactions, software and technology licensing and product development agreements, franchising and distribution agreements.

Corporate and Finance
- Represents a multilateral finance corporation in connection with its investment in a holding company for a group of companies which construct and operate water, wastewater treatment, and desalination plants in the Middle East and North Africa.
- Represents a regional securities exchange from time to time on various matters.
- Represented a GCC investor in its investment in a DIFC-based private equity fund.
- Represented a Middle East sports television channel in the sale of half of its equity to a strategic partner for a value in excess of $56 million, with continuing representation of the company on various matters.
- Represented a U.S. semiconductor manufacturing company in its sale to a financial buyer for $127.5 million.
- Represented a US health care system in its merger with a former competitor, combining acute care facilities, health maintenance organizations, and outpatient facilities in a single integrated system.
Lending and Debt Offerings
- Represented a Saudi industrial concern in a $138 million debt financing.
- Represented GCC banks on various matters pertaining to Saudi laws and regulations in connection with financing projects in Saudi and matters relating to Saudi Capital Market Authority regulations.
- Represented a UAE borrower in a combined commercial and Islamic finance borrowing totaling $215 million.
- Represented a UAE bank in development of a structured product.
- Represented various issuers of student loan asset backed securities in a series of transactions over several years totaling over $2 billion.
- Represented various issuers and underwriters of revenue backed debt in a series of transactions over twenty years.
- Represented various borrowers in interest rate swaps and debt-based total return swaps.
Projects and Privatization
- Represents the Saudi industrial company owner of a greenfield project in Jubail, Saudi Arabia in its EPC, technology and financing arrangements.
- Represents an Asian chemicals company in joint venture negotiations for an integrated petrochemical complex in the Gulf.
- Represented a North American technology and equipment provider in the supply of such items to a greenfield glass fiber plant in Saudi Arabia.
- Represented a private US toll road company in regulatory, development, construction, financing and operational matters.
- Represented a US toll road concession company and contractor in several privatization projects.
- Represented a US municipal health care system in its privatization to a non-profit health care system and the subsequent creation and transfer of residual rights to a special purpose district.
- Advised in connection with the reorganization of a county-wide health care system and its transfer to a special purpose district.
Real Estate; Construction
- Represents a leading Dubai developer in connection with a master planned community, involving residential, commercial, and public facilities.
- Represents a North American design firm in connection with Dubai based commercial projects.
- Represents developers of hotel properties in Dubai.
- Represented an Asian construction company in its joint venture with a UAE company.
Technology
- Represents a UAE company in negotiations with the technology provider and with telecommunications providers in the UAE, Saudi Arabia & other Middle East jurisdictions for the roll out in those territories of the wireless push-email solutions.
- Represented the provider of a Kingdom-wide electronic funds network in its concession negotiations with the Saudi Arabian Monetary Agency.
- Represented an international company in its implementation in the Middle East of a new software platform.
- Represented a consortium comprised of a major international telecommunications operator and leading Saudi-based investment group regarding its structure and bid for the third mobile telecom license in Saudi Arabia.
- Represented a major US semiconductor equipment manufacturer in the outsourcing of certain manufacturing operations.
- Represented an international semiconductor research consortium in technology development agreements, industry partnerships and public-private partnerships.
- Represented a major public university in the US in its acquisition and funding of genomics research facilities, including technology sharing agreements.
- Represented a consortium of public and private US universities in their participation in a nationwide fiber optics consortium.
From 1977 to 1982, Mr. Boehm served as a Foreign Service Officer for the United States Department of State. He is a member of the American Business Council of Dubai and the Northern Emirates, the National Association of Bond Lawyers, the State Bar of Texas, and the American Bar Association.

Mr. Boehm received a B.A. in 1976 from the University of Virginia and a J.D., with high honors, from The University of Texas in 1984. Mr. Boehm was admitted to practice law in Texas in 1984.
