Appellate

  • Fulbright & Jaworski's Appellate Practice Group, with more than thirty lawyers, is acclaimed for handling appeals at all levels in state and federal courts, covering the entire range of substantive civil law.
  • The core of the firm's appellate practice is writing briefs and presenting oral arguments in appeals and other proceedings.
  • The firm's appellate lawyers also support trial lawyers by briefing and arguing complex pretrial issues, monitoring trials with a focus on preserving appellate complaints, preparing and objecting to the court's charge and handling critical motions during and after the trial.

  • Represent clients in a broad range of corporate and commercial matters, including financings, mergers, acquisitions, offerings of debt and equity securities, general corporate law and bankruptcy and creditors' rights law.
  • Represent public companies, broker-dealers, financial institutions, investment advisors, hedge funds, accounting firms, law firms and other entities and individuals in securities enforcement investigations conducted by the Securities and Exchange Commission, the Department of Justice, stock exchanges, NASD Regulation, Inc. and state agencies.

Energy

  • Represent independent natural gas producers, local distribution companies, natural gas pipelines and other clients in matters related to the regulation of the oil, natural gas and electric utility industry, including administrative hearings and appellate review proceedings.
  • Represent clients on regulatory compliance, natural gas pipeline rate and service regulations and the structuring of limited partnerships and joint ventures in connection with the acquisition of oil and gas property or ventures related to the exploration and development of natural gas.

  • Structure and negotiate aircraft and engine debt and lease financings, leverage leases, mortgage financings, conditional sales, operating leases and cross-border leases.

Health Care

  • Represent a wide variety of health care clients, including academic medical centers, health systems, acute care and specialty hospitals, mental health institutions and providers, pharmaceutical and medical device manufacturers, managed care organizations, nursing homes, home health care agencies, clinical laboratories, medical supply companies, hospices, healthcare consultants and related trade organizations.
  • Representations encompass Medicare, Medicaid and other third party reimbursement rules; fraud and abuse issues; False Claims Act and other fraud litigation; administrative litigation before the Provider Reimbursement Review Board and the HHS Departmental Appeals Board; medical staff disputes; survey, certification and accreditation matters; EMTALA compliance; business acquisitions and other corporate matters; and contracting with physicians, vendors and other third parties.

  • Represent U.S. and foreign enterprises in cross-border mergers and acquisitions and other multinational transactions, international trade matters, Eurodollar fund-raising, foreign direct investments in the United States, international project financings, international arbitrations, international bankruptcy matters and joint ventures between U.S. and foreign entities.
  • Counsel clients on issues involving foreign government regulations, domestic and international tax matters and on securing foreign investment convertibility and expropriation insurance.

Labor and Employment Law

  • Represent employers (such as corporations, trade associations and nonprofit institutions) throughout the United States in all aspects of the employment relationship, including labor relations and civil rights.
  • Represent employers in arbitration.
  • Represent employers in proceedings before administrative agencies, trial courts and appellate courts relating to the National Labor Relations Act, union matters ranging from suits for injunctive relief to breach-of-contract actions and allegations involving wrongful discharge and discrimination in employment on the basis of age, race, national origin, disability, religion or sex.
  • Handle matters before the Equal Employment Opportunity Commission, the Office of Federal Contract Compliance and other local, state and federal agencies.
  • Counsel employers concerning contract negotiations, contract administration, rights and obligations under the various employment related laws and legislative and rulemaking matters.

Project Finance

  • Represent multilateral lending institutions and export credit banks based in Washington, D.C. and outside the United States on large international infrastructure projects, including independent power projects and oil and gas projects.
  • Represent developers and institutional investors on various international infrastructure projects, including large commercial real estate projects in Central Europe and Russia, oil and gas projects in the Middle East, port projects and telecommunications projects.

  • Represent clients both within the United States and internationally by structuring transactions, forming joint ventures and drafting and negotiating contracts, leases and loan documents.
  • Advise on foreclosures and bankruptcies for both lenders and developers.
