AREAS OF CONCENTRATION
EXPERIENCE

Christopher Clement-Davies has a broadly-based commercial law practice. His areas of focus include project development and finance, international energy deals, infrastructure, private equity and investment funds and corporate lending. Most of these transactions are cross-border, many of them in emerging markets.

Formerly a partner at a leading international law firm, and a director (and banker) at the investment bank S.G. Warburg (now UBS), Christopher worked extensively on the privatization of the electricity and rail industries in the UK, and has advised on major projects, privatizations and other transactions in the power, energy, water, transport, health and telecoms sectors. He has worked on transactions in the UK and the USA, Europe (including Central and Eastern Europe), the Middle East, North Africa, Russia, South-East Asia and the Indian sub-continent. His clients have included borrowers, sponsors, banks, ECAs, multilateral agencies, investment funds and governments.

REPRESENTATIVE EXPERIENCE
  • Currently advising an Islamic Finance institution on the re-financing of a renewables processing project.
  • Advised the project company on the re-financing of its $200m debt facilities for a power project in Pakistan.
  • Advised a leading investment bank on the enforcement of its security over the UK assets of a group of companies.
  • Advised a multinational corporation on the $150m disposal of a division of its business and several of its companies.
  • Advised international development banks on the financing of the Kenya-Uganda rail concession, named as African Transport Project of the Year by Project Finance magazine, 2007.
  • Advised the Government of Kazakhstan on aspects of its legislative framework for the implementation of a programme of infrastructure PPPs
  • Advised public fund of funds investment company (the private equity investment arm of a major US investment bank) on the $250m bridge financing of its new European investment fund.
  • Represented a leading U.K. private equity house on the U.S. aspects of their acquisition of a group of companies.
  • Advised a multilateral agency on the project financing of several energy and infrastructure projects in emerging markets jurisdictions (in Africa and Southern Asia), with an aggregate value of several hundred million dollars.
  • Advised the sellers in a $3 billion disposal of a controlling interest in a refinery company in Lithuania.
  • Advised a prominent investment fund in relation to the $120 million secured bridge financing of its "Converging Europe" mezzanine fund.
  • Advised a US local authority on its proposed $500 million PPP (P3) scheme to re-structure and raise private sector investment in its water-sector supply and distribution facilities on the basis of a long-term concession.
  • Currently advising one of the worlds leading multilaterals in relation to a $600 million project-financing of a gold mining project in Africa.
  • Represented a US-based energy company on the re-structuring of its US$300 million debt facilities in several different jurisdictions.
  • Advised the Russian Government on proposed development of privately-funded toll roads in Russia.
  • Advised lenders under a private placement of loan notes to a group of companies based in 8 different jurisdictions.
  • Advised the worlds’ largest multilateral financing institution on the co-financing of the US $970 million Litoral Centro toll-road project in Portugal.
  • Advised a major private equity fund in connection with a $150 million investment in a group of power projects across the Middle East.
  • Advised two multilateral lending agencies in relation to the €120 million financing of a water-treatment project and related assets forming part of the Bucharest Concession.
  • Represented one of the largest multi-national energy companies in the development of a port, LNG re-gasification facilities and gas transportation arrangements in India, including negotiations with Indian government agencies, advising on the concession agreement and construction arrangements, and other aspects of the project.
  • Advised the Governments of Lithuania and the Czech Republic on modifications to their Concessions Laws.
  • Advised the lenders on a US$85 million water project in Romania.
  • Advised the lenders on a US$50 million waste/water project in Slovenia.
  • Adviser to project sponsors in relation to proposed 750 MW IPP in sub-Saharan Africa.
  • Advised the project sponsor on a £80 million hospital PFI development in the United Kingdom.
  • Advised the government promoter on a £120 million road project in the United Kingdom.
  • Advised an Export Credit Agency on US$2.5 billion Bangkok Elevated Rail and Transport System in Thailand.
  • Advised the Virgin Rail Company in its bid for Thames link rail franchise and its acquisition of the WCML rail franchise.
  • Advised the lending banks on £40 million financing of PFI water and waste-water treatment project in Scotland.
  • Advised the sponsors on a proposed $600 million hydrocracker refinery project in Pakistan.
  • Advised the project developers and successful bidding consortium on the £2.7 billion Channel Tunnel Rail Link.
  • Advised a Multi-Lateral Agency and various Russian government institutions on the proposed US$5 billion modernization of the Russian air traffic control system.
  • Advised the project sponsors on the US$11 billion Sakhalin Island II oil and gas project in Russia.
  • Advised a Spanish government-owned oil and gas company on aspects of the US$1.2 billion Maghreb pipeline project in North Africa.
  • Advised the project sponsors on the development of a £34 million wind farm project.
  • Advised the UK Department of Transport on contractual and licensing arrangements related to the privatization of British Rail.
  • Advised the project sponsors on the £250 million privatization and acquisition of two generating stations in Northern Ireland in connection with the privatization of the Northern Ireland electricity industry.
  • Advised the lenders and arrangers on a £30 million BOT tolled crossing project from Scotland to the Isle of Skye.
  • Advised lenders and arrangers on the £340 million BOT Second Severn crossing project.
  • Advised a power company on a £200 million project to construct a 650 MW power station in Killingholme, England.
  • Advised CEGB and National Power Plc on post-privatization contractual arrangements, including the pooling and settlement agreement and contracts for differences, for the privatization of the electricity industry in England and Wales.
  • Advised the project sponsors and financial advisors on the US$1 billion Second Stage Expressway in Bangkok.
  • Advised the public sector transit authority on the construction of the £200 million Docklands Light Railway.
