EXPERIENCE

Brian Bradshaw is a Partner in Fulbright & Jaworski L.L.P.’s Energy Practice, having joined the Firm from another major international law firm in 2006. Although based in Houston, Brian spends a significant time in the Firm’s London office as well.

Brian has extensive experience in a broad range of energy transactions. In particular, Brian focuses on cross-border and international projects, with an emphasis on the development and financing of large-scale energy infrastructure projects. Brian has also worked extensively in Latin America where his language skills in Spanish and Portuguese are assets.

Brian regularly advises on upstream, midstream, downstream and related infrastructure projects throughout Latin America and the Caribbean, and in the Middle East and Africa. Brian has represented clients in significant transactions in Argentina, Bolivia, Brazil, Colombia, Dominican Republic, Guatemala, Indonesia, Israel, Nicaragua, Nigeria, Malaysia, Mexico, Panama, Peru, Thailand, Turkey, Uruguay, Venezuela and Yemen. His clients include project developers, commodity sellers and purchasers, lenders, investment banks and equity investors.

Brian’s energy project development experience specifically includes structuring and negotiating LNG supply agreements, terminal use agreements and other LNG-related contracts, joint operating agreements and related upstream agreements, license and concession agreements, development agreements, stockholders’ agreements, hydrocarbon sales agreements, gas transportation agreements, gas compression agreements, fuel supply agreements, interconnection agreements, EPC contracts, tolling agreements, power sales contracts, operation and maintenance agreements, land acquisition agreements and other project documentation.

Brian is experienced in negotiating the full range of project and commercial financing documentation for energy/infrastructure projects. Brian’s experience throughout the energy value chain on projects enables him to identify major project risks before they become impediments to funding, and to advise clients in devising appropriate risk mitigation plans to structure around them.

Recent LNG and Natural Gas Transactions Experience

  • Nationalization of the upstream interests in Bolivia of an international energy company
  • Nationalization of the equity interests in the Bolivia-Brazil pipeline of an international energy company
  • Development of one of the largest offshore fields in Brazil
  • Proposed unitization of the upstream interest in Brazil of an international energy company
  • Development of an LNG liquefaction plant in Venezuela
  • Development of an LNG liquefaction plant in Yemen with both FOB and DES deliveries
  • Development and financing of an LNG liquefaction plant in Peru with deliveries on an FOB basis and the related upstream natural gas transportation and sales agreements in Peru
  • Development of an LNG regasification plant in Baja, Mexico and the related downstream natural gas sales and transportation agreements in Mexico
  • Initial development of an LNG regasification plant in Baja, Mexico
  • Development of an LNG regasification plant in Sonora, Mexico and the related gas transportation agreement in Mexico
  • Development of an LNG regasification facility on the Gulf Coast of the United States with deliveries on a DES basis
  • Reactivation of the Elba Island, Georgia regasification facility
  • Monetization of an interest in multiple LNG regasification facilities on the Gulf Coast of the United States
  • Development of a joint venture to market natural gas in Brazil
  • Representation of a Bolivian producer in numerous sales of natural gas in Brazil, including the acquisition of gas reserves, drilling, transportation agreements on the Bolivia-Brazil pipeline and marketing of such volumes
  • Development of the Southern Cross pipeline from Argentina to Uruguay, including the concession agreement and all related transportation agreements
  • Representation of an integrated pipeline and power project in the acquisition of gas from Bolivia
  • Restructuring of shared risk contracts held by a major international oil and gas company with the Government of Bolivia
  • Representation of a Brazilian gas utility in connection with several natural gas supply agreements

  • Restructuring of the PPA of a 180 MW plant in the Dominican Republic
  • Development of a cogeneration facility at an existing industrial complex (Petroquímica União) located in Santo André, São Paulo, Brazil
  • Development of a 120 MW power plant to be located in the northern State of Alagoas, Brazil
  • Development and financing of a 150 MW barge-mounted diesel-fired power plant in Nicaragua
  • Restructuring of the debt and equity interest of an integrated pipeline and power plant in Brazil

  • Restructuring of the financing of an approximately 500 MW gas-fired project in Brazil
