EXPERIENCE

Andrew Hart joined the London office of Fulbright & Jaworski International LLP. as a partner in November 2007. He was previously a partner of Freshfields Bruckhaus Deringer from 1999 to October 2007, working in its London and Hong Kong offices.

Andrew specialises in project and infrastructure work. He has a wide ranging practice which includes greenfield project development and financing, including PPP (leading both the corporate and finance aspects of these transactions), M&A in relation to energy and infrastructure assets and LNG project development across a variety of African, European, Middle East, North America and Asian markets.

Andrew has particular experience of advising export credit agencies and multilaterals on major international projects, as well as energy and power companies and infrastructure funds on PPP projects and secondary market M&A deals involving infrastructure assets.

REPRESENTATIVE EXPERIENCE

Greenfield project development and financing:

Advising:

  • Meridiam Infrastructure on its successful bid for, and subsequent development of, the Long Beach courthouse PPP project in California, which reached financial close in December 2010
  • A multilateral institution on a reserve based financing structured on an Islamic compliant basis for a Middle East upstream energy group with oil and gas interests in Egypt and Yemen
  • Two multilateral institutions on the restructuring of their financing to a Pakistani electricity company
  • Five export credit agencies as common ECA counsel on the financing of a multi-billion dollar petrochemical project in China. This deal marked the first time that four of those ECAs had taken both commercial and political risk on a project financing in China
  • Three multilateral institutions, two export credit agencies and seven commercial banks on the financing of a toll road project in the Philippines
  • A multilateral institution and an export credit agency as common lenders' counsel in relation to the financing of a cold rolled stainless steel project in Shanghai
  • A multilateral institution on the financing for an acquisition of a Chinese power company and a number of debt restructurings in China
  • An export credit agency on the financing of a multi-million dollar power project in China
  • International counsel to the sponsors of a road project in Korea
  • A Middle East infrastructure fund on two separate Islamic compliant (Murabaha) debt financings
  • A Middle East client on its investment in a joint venture to redevelop a football stadium into a mixed use retail and residential development and construct a new sports stadium, including advice on the deal structure to ensure the project's financing
  • An Asian utility on various power project transactions in India

LNG and fuel supply:

Advising:

  • A major Asian national oil company on the development of an upstream LNG project in the Middle East
  • A major international oil company on its negotiation of LNG supply arrangements with a potential purchaser of its share of the supply from an LNG project in Western Australia
  • A consortium of international oil and gas and power companies on their development of a combined LNG receiving terminal and power plant project in India, including the drafting and negotiation of LNG supply arrangements with an LNG company in Qatar
  • An emerging markets investment fund on its refinancing of the existing debt of a central Asian energy company, which has an interest in an oil and gas field in Azerbaijan
  • A consortium of national and international oil companies on the arrangements for the storage and supply of fuel to Hong Kong International Airport

M&A in relation to project assets/infrastructure funds:

Advising:

  • A multilateral institution on its acquisition of an interest in a Middle East upstream energy group (ongoing)
  • A U.S. energy maintenance company on the acquisition of an energy maintenance company in North Africa
  • A Middle East infrastructure fund on its acquisition of a 50 per cent stake in an Asian power company, which has ownership interests in 14 power projects in the PRC, South Korea and Taiwan
  • A Middle East infrastructure fund and an Asian power company on their bid for a U.S. energy company's Asian power assets (including projects in China, Korea, Thailand, Pakistan and Bangladesh)
  • A U.S. client on its acquisition of a global gaming business with interests in the United Kingdom
  • An Asian utility on its bid for the Asian assets of a U.S. energy company (comprising of projects located in China, Korea, Thailand, Pakistan and Australia) and on a number of its other acquisition opportunities in India
